Please read these Terms of Service ("Terms") carefully before using PipeDesk. By creating an account or using our service, you agree to be bound by these Terms.

1. Acceptance of Terms

By signing up for PipeDesk, you agree to these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use our service. These Terms constitute a legally binding agreement between you and PipeDesk.

2. Description of Service

PipeDesk is a cloud-based CRM (Customer Relationship Management) software designed for solo plumber owner-operators. The service includes customer management, job scheduling, invoicing, payment processing, and automated SMS messaging features.

3. Eligibility

You must be at least 18 years old and a legal resident of the United States to use PipeDesk. By using our service, you represent and warrant that you meet these requirements.

4. Account Registration

You must provide accurate and complete information when creating your account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use of your account.

5. Subscription and Billing

By signing up for PipeDesk, you expressly consent to receive SMS text messages related to your account, including but not limited to: service notifications, billing alerts, and product updates.

Additionally, by using PipeDesk's SMS features, you agree that:

• You have obtained proper written or verbal consent from your customers before sending them any SMS messages through PipeDesk

• You will only send messages to customers who have provided their phone numbers and agreed to receive communications from your business

• All SMS messages sent through PipeDesk to your customers will include opt-out instructions

To opt out of SMS messages from PipeDesk: Reply STOP to any message we send you. You will receive a confirmation and no further messages will be sent. Reply HELP for assistance.

Message frequency varies. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.

7. SMS Compliance

You are solely responsible for ensuring your use of PipeDesk's SMS features complies with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and any applicable state laws. PipeDesk provides SMS delivery services but is not responsible for your compliance with these laws.

You must maintain records of customer consent to receive SMS messages and provide those records upon request. Failure to comply with SMS regulations may result in immediate termination of your account.

8. Payment Processing

Payment processing for your PipeDesk subscription is handled by Stripe. By subscribing, you agree to Stripe's terms of service. If you use PipeDesk to collect payments from your customers, you must separately agree to Stripe Connect's terms of service. PipeDesk does not store your payment card information.

9. Data and Privacy

Your use of PipeDesk is also governed by our Privacy Policy. You own the customer data you enter into PipeDesk. We will not sell your data or your customers' data to third parties. Upon account termination, you may request an export of your data within 30 days.

10. Intellectual Property

PipeDesk and its original content, features, and functionality are owned by PipeDesk and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our service without our express written permission.

11. Disclaimers

PipeDesk is provided "as is" without warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, error-free, or completely secure. We are not responsible for any loss of data or business resulting from service interruptions.

12. Limitation of Liability

To the maximum extent permitted by law, PipeDesk shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the service. Our total liability to you shall not exceed the amount you paid us in the 3 months preceding the claim.

13. Indemnification

You agree to indemnify and hold PipeDesk harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the service, your violation of these Terms, or your violation of any third party's rights, including any SMS recipients.

14. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, non-payment, or any other reason at our discretion. You may cancel your account at any time from your account settings. Upon termination, your right to use the service immediately ceases.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes by email or through the service. Your continued use of PipeDesk after changes take effect constitutes acceptance of the new Terms.

16. Governing Law

These Terms are governed by the laws of the United States. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.
